Ministry of Corporate Affairs (MCA) has amended the existing Companies (Incorporation) Rules

Ministry of Corporate Affairs (MCA) has vide its Notification dated 29th March 2019 amended the existing Companies (Incorporation) Rules, 2014 and has notified Companies (Incorporation) Third Amendment Rules, 2019 providing an option to companies intending to incorporate in India to apply for the following registrations by filing e-form AGILE (lNC – 35) along with application for incorporation of a company under Rule 38:

(i) Goods and Service Tax Identification Number (GSTIN);

(ii) Employees’ State Insurance Corporation registration; and

(iii) Employees’’ Provident Fund registration

Post-amendment the New rule 38A has been inserted after existing Rule 38 in the Companies (Incorporation) Rules as under:

Rule 38A: Application for registration of the Goods and Service Tax Identification Number (GSTIN), Employees’ State Insurance Corporation registration and Employees’ Provident Fund registration

The application for incorporation of a company under rule 38 shall be accompanied by e-form AGILE (lNC – 35) containing an application for registration of the following numbers, namely:

(a)    GSTIN with effect from 31st March 2019

(b)   EPFO with effect from 8th April, 2019

(c)    ESIC with effect from 15th April, 2019
